Merger Report Notice
1. Blitzway Co., Ltd. (Party A) held a temporary shareholders’ meeting on January 10, 2024, and H&Entertainment Co., Ltd. (Party B) held a temporary shareholders’ meeting on January 10, 2024.
Each party resolved to merge, and as a result, (Party A) merged with (Party B) and succeeded to all of its rights and obligations, and (Party A) continued to exist and (Party B) dissolved.
2. By the above resolution, the two companies completed the merger procedures prescribed by the Commercial Act, and at the board meeting held on February 14, 2024, the merger report general meeting was held in lieu of the merger report general meeting pursuant to Article 526, Paragraph 3 of the Commercial Act.
As the Board of Directors has resolved to replace the merger reporting general meeting with this notice, we hereby report the completion of the merger to each shareholder by notice.
